TERMS AND CONDITIONS OF USE

PLEASE READ THESE TERMS OF USE CAREFULLY BEFORE USING THIS SITE.

These Terms and Conditions of Use (“Terms”) represent the agreement between you (“Site User”) and Prismavisions.com (“Prismavisions.com”) and govern how you use the platforms provided by Prismavisions.com, including any websites and mobile apps on which these Terms are displayed (collectively referred to as the “Site”). These Terms describe the rights and responsibilities of all Site Users regarding their use of the Site. Prismavisions.com may immediately terminate these Terms or any Site for any reason, or generally stop offering or deny access to the Site or any part of it, at any time, except where prohibited. Your access to and use of the Site depend on your acceptance of and compliance with these Terms. These Terms apply to all visitors, users, and others who access or use the Site (collectively, “Site Users”).


1. Who May Use the Site. A Site User can use the site if they are of legal age to enter into a binding contract in their jurisdiction and are not prohibited from doing so by applicable laws. In the United States, you must be at least 13 years old to use the site. In Canada, a Site User must be at least the age of majority in their province or territory of residence to use the site without restrictions. If a Site User is between the ages of 13 and the age of majority in their jurisdiction, they may only use the site with the involvement and approval of a parent or legal guardian. By using the site, the Site User agrees to follow these Terms and all relevant laws and regulations in the United States, Canada, and any other applicable regions. It is the responsibility of the Site User to provide accurate, up-to-date information and to keep their account secure.

2. Account Registration. To access certain areas of the Site, a Site User may need to create an account (“Account”). The Site User agrees to provide Prismavisions.com with accurate, complete, and current information for their Account. The Site User can access, edit, and update their Account by logging into it on the Site. The Site User is responsible for keeping their Account and password confidential and for restricting access to their Account. They agree to accept responsibility for all activities that occur under their Account or password. The Site User will not have ownership of their Account or username. Prismavisions.com may refuse registration, cancel an account, or deny access to the Site for any reason.

For site users residing in Canada, the following additional provisions apply: By creating an account, site user acknowledges and agrees to comply with the Canadian Copyright Act (R.S.C., 1985, c. C-42) and any other applicable Canadian intellectual property laws. Site user is responsible for ensuring that any content uploaded, shared, or otherwise used on the site does not infringe upon the copyrights or intellectual property rights of others. Prismavisions.com reserves the right to terminate the accounts of site users who are repeat infringers of copyright.

3. Code of Conduct. Site User agrees to comply with all applicable laws, rules, and regulations, and will not:

  • Prevent others from using the Site in ways unauthorized by Prismavisions.com;
  • Use the Site only for lawful purposes;
  • Do not state or imply that Prismavisions.com endorses any of your statements without prior written approval;
  • Avoid impersonating any person or entity, whether real or fake, including Prismavisions.com employees or representatives;
  • Do not upload (a) content that is unlawful, fraudulent, libelous, defamatory, or otherwise objectionable, or that infringes on Prismavisions.com’s or third parties’ intellectual property rights; (b) confidential information about companies without permission; or (c) advertisements, solicitations, chain letters, pyramid schemes, surveys, contests, investment schemes, or other unwanted commercial messages;
  • Refrain from posting, or linking to, content that could be harmful, obscene, pornographic, sexually explicit, indecent, lewd, violent, abusive, profane, insulting, threatening, harassing, hateful, or otherwise inappropriate, especially content involving minors, drug use (including alcohol and cigarettes), glorifies or endorses violence, or contains personal contact details or other personal identifying information of third parties;
  • Avoid posting, or linking to, content that harasses, victimizes, degrades, or intimidates individuals or groups based on religion, race, ethnicity, sexual orientation, gender, age, or disability;
  • Refrain from using any password or code to access offers unless you received it from Prismavisions.com, and follow all the rules associated with those offers.

4. Making Purchases. Please review Prismavisions.com’s Purchase Policy, which governs the Site User’s purchase of products through the Site, including refunds or exchanges. Prismavisions.com may impose conditions on the use of any coupon, promotional code, or gift card. The Site User must pay all charges associated with their purchase, incurred by them or any user of their account and credit card (or other payment methods), at the prices in effect when the charges are made, including any additional fees. The Site User is also responsible for any sales, use, value-added, or other taxes or duties that may apply to their purchase, as determined by local and state laws. Prismavisions.com does not collect taxes in all jurisdictions; therefore, it is the Site User’s responsibility to report and remit the correct taxes to the proper tax authorities.

Site User may only use credit or debit cards, gift cards or vouchers that belong to Site User or to people who expressly authorize Site User to use such payment methods. Site Users may not attempt to conceal their identity by using multiple Internet Protocol addresses or email addresses to conduct transactions on the Site. Site User will not hold Prismavisions.com liable if Site User does not comply with laws related to their transactions. Prismavisions.com may provide law enforcement with information Site User provides to Prismavisions.com related to their transactions to assist in any investigation or prosecution of Site User. If Prismavisions.com is unable to verify or authenticate any information Site User provide during any registration, ordering, purchase, posting, sale, authentication, delivery, payment or remittance process, or any other process, or if Prismavisions.com is no longer able to verify or authorize Site User’s credit card or bank account information, Site User’s transaction may be cancelled, Prismavisions.com may refuse to honor all pending and future purchases made with those credit card or bank accounts and/or via any online accounts associated with those credit card or bank accounts. Prismavisions.com may also prohibit Site Users from using the Site.

5. Claims of Copyright Infringement on the Site. If a Site User believes in good faith that any content on the Site infringes their copyright, they may send Prismavisions.com a notice requesting that the content be removed or access to it be disabled. The notice must include: (a) Site User’s (or Site User’s agent’s) physical or electronic signature; (b) identification of the copyrighted work on this Site that is claimed to have been infringed (or a representative list if multiple copyrighted works are included in one notification); (c) identification of the content that is claimed to be infringing or the subject of infringing activity, including information reasonably sufficient to allow Prismavisions.com to locate the content on the Site; (d) Site User’s contact information, including name, address, telephone number, and email address; (e) a statement that Site User has a good faith belief that use of the content in the manner complained of is not authorized by Site User or Site User’s agent or the law; and (f) a statement that the information in the notification is accurate and, under penalty of perjury, that Site User or Site User’s agent is authorized to act on behalf of the copyright owner.

6. Links. The Site includes links to other websites that may not be owned or operated by us. The fact that Prismavisions.com links to these sites does not imply any approval or endorsement of them. Prismavisions.com has no control over these external websites. We are not responsible for their content or their privacy practices. Prismavisions.com strongly recommends that Site Users review the terms of use and privacy policies of any linked websites. Using these external sites is at the User’s own risk and subject to their respective terms. It is the User's responsibility to take precautions to ensure that any links clicked or software downloaded—whether from the Site or elsewhere—is free from viruses, worms, Trojan horses, defects, date bombs, time bombs, or other malicious elements.

7. Parental Controls. Prismavisions.com cannot prevent minors from visiting this site and depends on parents and guardians to determine what materials are suitable for children to view and purchase. There are parental control options (such as hardware, software, or filtering services) that can help site users limit access to harmful materials for minors. Users can find information about parental controls at http://onguardonline.gov. Prismavisions.com does not endorse the products or services listed on this website.

8. Access from Outside the United States and Canada. The Site is intended only for people living in the United States and Canada. Prismavisions.com makes no claim that the content on or through the Site is suitable or available elsewhere. Prismavisions.com may restrict access to the Site or any services or products mentioned on the Site to any person or location at any time. If a Site User chooses to access the Site from outside the United States or Canada, they do so at their own risk.

9. Rules for Sweepstakes, Contests, and Games. In addition to these Terms, sweepstakes, contests, games, or other promotions (collectively, “Promotions”) offered through the Site may have specific rules that differ from these Terms. By participating in a Promotion, the Site User agrees to those rules. Prismavisions.com encourages the Site User to review the rules before participating in a Promotion. Promotion rules will take precedence over any conflicting terms in these Terms.

10. Violation of these Terms. Prismavisions.com may investigate any violation of these Terms, including unauthorized use of the Site. Prismavisions.com may provide law enforcement with information that Site User provides to Prismavisions.com related to Site User’s transactions to assist in any investigation or prosecution of Site User. Prismavisions.com may take legal action it deems appropriate. Site User agrees that monetary damages may not fully compensate Prismavisions.com, and that Prismavisions.com may seek injunctive or other relief for Site User’s violation of these Terms. If Prismavisions.com determines that Site User has violated these Terms or the law, or for any other reason or for no reason, Prismavisions.com may cancel Site User’s account, delete all Site User’s data, and block Site User’s access to the Site at any time without notice. If that happens, Site User may no longer use the Site or any content. Site User will still be bound by these Terms. Site User agrees that Prismavisions.com is not liable to Site User or any third party for termination of access, and that Prismavisions.com is not required to provide the Site or Site User’s account or data. Prismavisions.com may also cancel any merchandise order or merchandise purchased through the Site User’s order. Prismavisions.com may refuse to honor pending or future purchases from accounts believed to be associated with Site User, cancel an order linked to any person believed to be acting with Site User, or cancel Site User’s postings, exercising any other remedies available.

11. Disclaimer of Warranties. WE PROVIDE THE SITE AND THE CONTENT TO SITE USERS “AS IS” AND “AS AVAILABLE." WE TRY TO KEEP THE SITE UP, BUG-FREE, AND SAFE, BUT SITE USERS USE IT AT THEIR OWN RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, AND TO THE EXTENT THAT APPLICABLE LAW ALLOWS THE DISCLAIMER OF EXPRESS OR IMPLIED WARRANTIES, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY WARRANTY OF TITLE, NON-INFRINGEMENT, ACCURACY, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR WARRANTIES ARISING FROM COURSE OF DEALING, COURSE OF PERFORMANCE, OR USAGE OF TRADE. WE DO NOT GUARANTEE THAT THE SITE WILL ALWAYS BE SAFE, SECURE, OR ERROR-FREE, OR THAT IT WILL FUNCTION WITHOUT DISRUPTIONS, DELAYS, OR IMPERFECTIONS. WE ARE NOT RESPONSIBLE FOR THE ACTIONS OR INFORMATION OF THIRD PARTIES, AND SITE USERS RELEASE US FROM ANY CLAIMS AND DAMAGES, KNOWN AND UNKNOWN, ARISING OUT OF OR IN ANY WAY CONNECTED WITH ANY CLAIM AGAINST THIRD PARTIES. 12. Limitation of Liability. In addition to any excuse provided by applicable law, Prismavisions.com shall be excused from liability for non-delivery or delay in delivering products and services available through the Site arising from any event beyond Prismavisions.com’s reasonable control, whether or not foreseeable by either party. This includes, but is not limited to, labor disturbances, war, fire, accidents, adverse weather, transportation issues, government actions or regulations, and other causes or events beyond Prismavisions.com’s reasonable control, whether or not similar to those listed above.

PRISMAVISIONS.COM SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS, LOST DATA, PERSONAL INJURY, OR PROPERTY DAMAGE RESULTING FROM, IN CONNECTION WITH, OR OTHERWISE ARISING FROM ANY USE OF THE SITE, REGARDLESS OF THE NEGLIGENCE (ACTIVE, AFFIRMATIVE, SOLE, OR CONCURRENT) OF PRISMAVISIONS.COM, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. 

PRISMAVISIONS.COM SHALL NOT BE LIABLE FOR ANY DAMAGES, LIABILITY, OR LOSSES ARISING FROM: (i) THE SITE USER’S USE OF OR RELIANCE ON THE SITE OR THEIR INABILITY TO ACCESS OR USE THE SITE; OR (ii) ANY TRANSACTION OR RELATIONSHIP BETWEEN THE SITE USER AND ANY THIRD-PARTY PROVIDER, EVEN IF PRISMAVISIONS.COM HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. 

PRISMAVISIONS.COM SHALL NOT BE LIABLE FOR DELAYS OR FAILURE IN PERFORMANCE CAUSED BY EVENTS BEYOND PRISMAVISIONS.COM’S REASONABLE CONTROL. HOWEVER, NOTHING IN THESE TERMS SHALL EXCLUDE OR LIMIT PRISMAVISIONS.COM'S LIABILITY FOR LOSSES OR DAMAGES THAT CANNOT BE LAWFULLY EXCLUDED OR LIMITED BY APPLICABLE LAW, INCLUDING MANDATORY LEGAL RIGHTS OF CONSUMERS IN U.S. AND CANADIAN JURISDICTIONS. THE SOLE REMEDY FOR SITE USERS WHO ARE DISSATISFIED WITH THE SITE OR LINKED WEBSITES IS TO CEASE USING THE SITE OR THOSE SERVICES OR PRODUCTS.

13. Indemnification. The Site User agrees to indemnify, defend, and hold harmless Prismavisions.com and its officers, directors, employees, contractors, agents, licensors, service providers, subcontractors, and suppliers from all losses, liabilities, expenses, damages, and costs, including reasonable attorney’s fees and court costs, that arise from or relate to the Site User’s use of the Site or Prismavisions.com’s products or services, or any violation or alleged violation by the Site User of these Terms or applicable laws. Prismavisions.com reserves the right, at its own expense, to take sole control and defense of any matter that would otherwise be indemnified by the Site User. In such cases, the Site User agrees to cooperate with Prismavisions.com in defending the matter. The Site User may not settle any claim covered by this section or admit liability on behalf of Prismavisions.com without prior written approval from Prismavisions.com.

14. Mandatory Arbitration and Class Action Waiver. Any dispute, claim, or controversy related to these Terms (including how this section is interpreted or applied and questions about arbitrability), the Site User’s use of the Site, or any products or services sold or distributed by Prismavisions.com or through the Site will be settled through binding arbitration, not in court, except that each party retains the right to file an individual claim in small claims court or to seek injunctive or other equitable relief in a court with proper jurisdiction to prevent actual or threatened infringement, misappropriation, or violation of a party’s copyrights, trademarks, trade secrets, patents, or other intellectual property rights. There is no judge or jury in arbitration, and court review of an arbitration award is limited. However, an arbitrator can award all remedies (except for class, consolidated, or representative actions) that a party is entitled to under applicable law, including injunctive, declaratory relief, or statutory damages, and must follow these Terms as a court would. It is agreed that any dispute resolution process will be conducted on an individual basis only, and not as part of a class, consolidated, or representative action. SITE USER ACKNOWLEDGES AND AGREES THAT BOTH SITE USER AND PRISMAVISIONS.COM EACH WAIVE THE RIGHT TO A JURY TRIAL OR TO PARTICIPATE AS A PLAINTIFF OR CLASS MEMBER IN ANY CLAIMED CLASS.

15. Action or Representative Proceeding. Unless Site User and Prismavisions.com agree otherwise, the arbitration will take place in Los Angeles County, California. If the Site User’s claim is less than or equal to $10,000.00, arbitration will be based solely on the documents submitted by the Site User and Prismavisions.com to the Arbitrator, unless the Site User requests a hearing or the Arbitrator decides a hearing is necessary. If the claim exceeds $10,000.00, the Site User’s right to a hearing will be determined by the American Arbitration Association (“AAA”) Rules. In accordance with AAA Rules, the Arbitrator may direct a fair exchange of information between the parties, consistent with the expedited nature of the process. Arbitration Process. As outlined in the AAA rules, to initiate arbitration, the Site User must submit a written Demand for Arbitration that describes their claim and the relief sought to Prismavisions.com’s designated agent at the Law Offices of Jeffrey R. Boxer, 811 Wilshire Blvd., Suite 1460, Los Angeles, CA 90017. Payment of all filing, administration, and arbitrator fees will be made in accordance with AAA rules. All arbitrations will proceed under California law. Prismavisions.com’s failure to enforce any right or provision in these Terms does not constitute a waiver of that right or provision or any other rights or provisions included within the Terms.
